I joined the main legal department (Direzione Affari Legali e Societari) dealing with infrastructure financings transactions. Please find below a list of my main activities:

- drafting and reviewing of the internal documents for the approval of a financing transaction;

- review of the finance documents prepared by the lenders' counsel for the purposes of ensuring compliance with internal policies / contractual standards;

- liasing and negotiating with external advisors, borrower and/or other lenders in relation to legal issues concerning the financing transaction (including review of engagement letters, intercreditor agreements, arranging letters, etc.)

-support to the CDP commercial team in relation to any legal issues concerning the financial transactions.

I provide assistance to banks, financial institutions, investment funds and companies (public or private, Italian or foreign) in relation to any extraordinary transaction to be carried out in the Energy and Infrastructure sector. I developed a significative experience in the following fields:

• project finance (structuring and negotiation of financing agreements based on a specific project);
• corporate finance and other finance transactions (including issuance of bonds);
• project contracts (including EPC, O&M, service agreements, intercompany contracts etc.);
• M&A and Corporate (drafting and negotiation of development agreement, SPA, minutes of BoD resolutions and shareholders' meeting, reporting to the client's BoD, drafting of intercompany loans, etc.);
• public concessions in relation to complex infrastructures and PPP (public-private partnership), public tenders;
• carrying out and coordinating due diligence activities in connection to the above (including evaluation of any pending litigation);
• assistance in relation to the first utilisation of facilities (e.g.: verification of CPs, drafting of legal opinions, etc.) and management of existing finance contracts (including formalities and documentation in relation informative obligations, waiver requests, etc.).

I developed an extensive experience in the legal aspects of the following industries/sectors:

• construction and management of complex infrastructures (including ports, railways, hospitals, etc.);
• production of energy from renewable sources (including photovoltaic plants and wind farms);
• water supply (servizio idrico integrato), gas and oil trading.

I joined the Energy & Infrastructure Department. I acquired a significative experience in the following fields:

• project finance;
• other financing;
• project contracts.

I joined the Banking Team. My activities included:

• assisting lawyers with materials preparation for internal and external training events;
• providing legal research and legal technical content to produce products showcasing firm expertise;
• drafting of financial contracts, commercial agreements and term sheets;
• developed online, client-facing and internal resources and collated resource content.

I joined the Banking departments. My activities included:

• drafting and negotiating of finance contracts;
• equity capital markets (assistance in relation to the listing in the stock exchange of private companies);
• due diligence activities.
